DIGITALO General Terms & Conditions

  1. Welcome

These General Terms & Conditions (“Terms”) apply to all products and services supplied by DIGITALO Pty Ltd (ABN 49 616 606 896) (“DIGITALO”, “we”, “our” or “us”), unless a separate written agreement specifically states otherwise.

By accepting a quotation, paying an invoice or deposit, requesting work to commence, or continuing to use our services, you agree to these Terms.

Our aim is to build long-term relationships with our clients through honest advice, quality workmanship and clear communication. These Terms help ensure that both parties understand their responsibilities throughout every project.

  1. Services

DIGITALO provides a range of digital services including, but not limited to:

  • Website design and development
  • WordPress website creation and editing
  • WooCommerce setup and support
  • Website maintenance and updates
  • Website migrations
  • Website performance improvements
  • Search Engine Optimisation (SEO)
  • Blog writing and website copywriting
  • Graphic design
  • Canva templates and editable designs
  • HTML email signatures
  • Google Business Profile setup and optimisation
  • Social media account setup
  • Newsletter design and creation
  • Digital consulting
  • General website support
  • Training and technical assistance
  • Other digital services as quoted from time to time.

Not every project includes every service. The scope of work will always be determined by the accepted quotation or proposal.

  1. Quotes

Unless otherwise stated:

  • Quotations are valid for 30 days.
  • Prices are quoted in Australian Dollars (AUD).
  • Prices include only the work specifically described in the quotation.
  • Work requested outside the original scope may be quoted separately.
  • Quotations may be revised if project requirements materially change before work commences.

Estimated completion times are provided in good faith but are estimates only.

  1. Acceptance

A quotation is considered accepted when any of the following occurs:

  • you approve the quotation through Xero or another online acceptance system;
  • you accept the quotation by email;
  • you instruct DIGITALO to begin work;
  • you pay a deposit or invoice relating to the project; or
  • you otherwise indicate your intention to proceed.

Once accepted, these Terms become part of our agreement.

  1. Payment & Subscription Terms

Unless otherwise agreed in writing:

  • Project Invoices: Invoices are payable within the period stated on the invoice.
  • Deposits: Deposits must be paid before work commences where requested.
  • Final Deliverables: Final payment is due before final files, website migration, administrative access or other deliverables are released.
  • Subscription & Retainer Services: Where services are provided on a recurring subscription basis (such as website maintenance, hosting, or support packages), payments are billed monthly in advance via our designated automated payment system.
  • Failed Payments: If an automated subscription payment fails, DIGITALO will re-attempt billing. If payment is not successfully processed within 7 days of the due date, we reserve the right to temporarily suspend the subscription services, including website hosting or support, until the account is brought up to date.
  • Subscription Cancellation: You may cancel a recurring subscription at any time by providing 14 days’ written notice prior to your next billing date. No refunds are provided for partial months or unused portions of a billing cycle.
  • Overdue Accounts: DIGITALO reserves the right to suspend work on overdue accounts until payment has been received. Interest and debt recovery costs permitted under Australian law may be charged on overdue accounts where reasonable.
  1. GST

DIGITALO is currently not registered for GST.

Unless otherwise stated, prices quoted by DIGITALO do not include GST and GST is not added to our invoices.

If DIGITALO becomes registered for GST in the future, quotations and invoices issued after that date will be prepared in accordance with Australian taxation law.

  1. Scope of Work

Every project is based upon the agreed scope outlined in the quotation or proposal.

Examples of changes outside the agreed scope include:

  • additional pages
  • additional functionality
  • additional design concepts
  • additional revisions
  • significant changes to approved work
  • changes requested after approval
  • additional content writing
  • sourcing additional images
  • extra training sessions
  • work requested after project completion.

Where additional work is requested, DIGITALO will advise any additional costs before proceeding where reasonably practical.

  1. Client Responsibilities

To help projects run smoothly, clients agree to:

  • provide requested information promptly;
  • supply logos, branding, text and images where required;
  • ensure supplied content does not infringe copyright or other legal rights;
  • review work within a reasonable timeframe;
  • provide clear feedback;
  • obtain any necessary approvals within their organisation;
  • provide access to hosting, domain names or third-party accounts where required.

Project delays caused by missing information or delayed approvals may affect delivery timeframes.

For rapid-turnaround, fixed-day or template-based packages, work will not be scheduled or commenced until all requested content, images and assets have been provided through our nominated onboarding process.

  1. Client Content

Unless otherwise agreed, clients are responsible for the accuracy and legality of all content they supply.

This includes:

  • written content
  • logos
  • photographs
  • videos
  • trademarks
  • business names
  • product information
  • pricing
  • legal statements
  • contact details.

DIGITALO may identify obvious spelling, formatting or factual issues where noticed, however the client remains responsible for reviewing and approving all content before publication.

  1. Project Timeframes

DIGITALO will make every reasonable effort to complete projects within the estimated timeframe.

Completion dates may be affected by factors outside our control including:

  • delayed client feedback;
  • changes to project scope;
  • delays from third-party providers;
  • hosting or domain issues;
  • software updates;
  • technical issues;
  • illness or unforeseen circumstances.

Where delays occur, we will communicate revised expectations as soon as reasonably possible.

  1. Revisions & Feedback Rounds

Unless a specific package or quotation explicitly states otherwise (such as express or template-based offers), projects include up to two (2) rounds of minor revisions during the design process.

• What Constitutes a Revision: A revision refers to minor amendments that refine previously approved work. Examples include: wording changes, colour adjustments, spacing improvements, replacing supplied images, or correcting minor errors.

• The “Consolidated Feedback” Rule: To ensure projects stay on schedule, a single “round” means one consolidated batch of feedback provided to DIGITALO at one time. Frequent “drip-feed” messages or emails with individual, rolling changes will be counted as separate, full rounds of revisions.

• Out of Scope Changes: Revisions do not include redesigning approved concepts, fundamentally changing project direction, or requesting additional functionality beyond the agreed quotation. Any such changes, or revision requests exceeding the included rounds, will incur additional hourly fees.

• Express & Template Packages: Certain rapid-launch, express, or template-based packages explicitly exclude revisions. For these offers, any post-delivery amendments will require the purchase of a Revision Pass or incur separate fees.

  1. Communication

DIGITALO aims to respond to emails and enquiries as promptly as practical during normal business hours.

Communication may occur by:

  • email;
  • telephone;
  • video conference;
  • messaging platforms; or
  • other agreed communication methods.

For the protection of both parties, significant project instructions should be confirmed in writing.

  1. Project Suspension or Cancellation

A client may suspend or cancel a project at any time by providing written notice.

Where work has already commenced, DIGITALO reserves the right to invoice for work completed up to the date of suspension or cancellation.

Any deposits paid may be retained to cover work already performed, planning undertaken, licences purchased or other reasonable project costs.

If a project remains inactive due to a lack of client communication for more than 60 days, DIGITALO may consider the project closed. Any future recommencement may require a revised quotation to reflect current pricing and remaining work.

  1. Ownership Until Payment

Unless otherwise agreed in writing, all designs, concepts, code, documents and other work created by DIGITALO remain the property of DIGITALO until all outstanding invoices relating to the project have been paid in full.

Upon receipt of full payment, ownership of the agreed project deliverables transfers to the client, subject to any third-party licences, software terms or intellectual property restrictions outlined elsewhere in these Terms.

  1. Definitions

For the purposes of these Terms:

Client means the individual, business or organisation purchasing services from DIGITALO.

Project means the work described in an accepted quotation or proposal.

Deliverables means the final work supplied to the client, including websites, graphics, email signatures, written content, templates or other agreed outputs.

Third-Party Services means any software, plugin, hosting provider, domain registrar, payment gateway, cloud platform or external service not owned or controlled by DIGITALO.

Business Day means Monday to Friday, excluding public holidays observed in Queensland.

  1. Website Design & Development

DIGITALO designs and develops websites based on the agreed project scope and information supplied by the client.

Unless otherwise stated, quotations may include services such as:

  • website planning;
  • responsive website design;
  • WordPress installation and configuration;
  • theme customisation;
  • page creation;
  • content integration;
  • contact forms;
  • basic search engine optimisation;
  • website testing; and
  • launch assistance.

Projects do not include functionality, integrations or content that is not specifically included within the accepted quotation.

While every effort is made to ensure compatibility with current versions of major web browsers, devices and operating systems, no website can be guaranteed to display identically across every browser, device or future software release.

  1. Website Editing & Ongoing Support

DIGITALO provides website editing and support services for both websites developed by DIGITALO and existing third-party websites.

Where working on an existing website, DIGITALO cannot guarantee the quality, coding standards or stability of work previously completed by others.

Where significant issues are identified, we will advise the client before undertaking additional work where reasonably practical.

  1. WordPress, Themes & Plugins

Many websites supplied or maintained by DIGITALO use WordPress and third-party themes, plugins and extensions.

These products are developed by independent software providers.

DIGITALO is not responsible for faults, security vulnerabilities, discontinued products, licensing changes or compatibility issues introduced by third-party developers.

Software updates may occasionally affect website appearance or functionality. While we take reasonable care when performing updates, unforeseen issues can occur due to the complexity of modern websites.

Where maintenance services are not provided by DIGITALO, ongoing software updates remain the client’s responsibility.

  1. WooCommerce & E-commerce

Where a website includes WooCommerce or other e-commerce functionality, DIGITALO will configure the agreed features outlined in the accepted quotation.

The client remains responsible for:

  • product information;
  • pricing;
  • taxation settings;
  • shipping policies;
  • inventory management;
  • legal compliance;
  • consumer law obligations; and
  • ongoing store administration.

DIGITALO cannot guarantee compatibility between all payment gateways, shipping providers, plugins or third-party services.

  1. Search Engine Optimisation (SEO)

DIGITALO follows recognised search engine optimisation best practices where SEO services are included.

However, search engine rankings depend upon many factors outside our control, including:

  • search engine algorithm changes;
  • competitor activity;
  • website age;
  • domain authority;
  • market competition;
  • content quality; and
  • external websites.

Accordingly, DIGITALO does not guarantee:

  • first-page rankings;
  • improved rankings;
  • increased traffic;
  • enquiries;
  • sales; or
  • business growth.

SEO should be viewed as an ongoing process rather than a one-off activity.

  1. Content Writing & Copywriting

DIGITALO may prepare website content, blog articles, marketing copy, newsletters or other written material.

While reasonable efforts are made to ensure accuracy, clients are responsible for reviewing and approving all content before publication.

Clients should verify:

  • pricing;
  • product information;
  • legal statements;
  • technical information;
  • contact details;
  • dates;
  • names; and
  • regulatory requirements.

DIGITALO accepts no responsibility for factual inaccuracies supplied by the client or approved by the client prior to publication.

  1. Artificial Intelligence (AI)

DIGITALO may use artificial intelligence (AI) tools to assist with:

  • drafting content;
  • brainstorming ideas;
  • editing;
  • proofreading;
  • image generation;
  • design concepts; and
  • workflow efficiency.

All AI-assisted work is reviewed, edited and approved by a human before being supplied to the client.

Clients remain responsible for reviewing and approving all final content before publication.

  1. Graphic Design

Graphic design services may include logos, brochures, flyers, business cards, advertisements, social media graphics, signage, digital artwork and other marketing material.

Minor colour variations may occur between different screens, printers, paper stocks and production methods.

DIGITALO recommends obtaining printed proofs where colour accuracy is critical.

Unless specifically included within the quotation, print production, freight and printing costs are not included.

  1. Canva Templates & Editable Files

Where Canva templates are supplied, clients acknowledge that:

  • editing requires access to Canva;
  • some elements may require a Canva Pro subscription;
  • third-party fonts or licensed content may have separate licensing requirements.

DIGITALO is not responsible for changes made by the client after editable files have been supplied.

  1. HTML Email Signatures

DIGITALO creates HTML email signatures designed for use across major email applications.

Email software differs significantly in the way it displays HTML.

Accordingly, slight variations in spacing, fonts, image positioning, line heights and formatting may occur between:

  • Microsoft Outlook;
  • Microsoft 365;
  • Gmail;
  • Apple Mail;
  • Outlook Web;
  • mobile email applications; and
  • other email clients.

DIGITALO will make reasonable efforts to achieve a consistent appearance across commonly used platforms, however identical rendering cannot be guaranteed.

Some organisations intentionally block externally hosted images until recipients choose to display them.

This behaviour is controlled by the recipient’s email software, organisation or security settings and is outside DIGITALO’s control.

Installation assistance is limited to the services included within the accepted quotation.

Additional configuration of Microsoft 365, Exchange Online or centralised email signature systems may incur additional charges.

  1. Google Business Profile

DIGITALO may assist with creating, verifying or optimising Google Business Profiles.

Approval, verification and ongoing visibility remain entirely at Google’s discretion.

DIGITALO cannot guarantee:

  • verification approval;
  • ranking within Google Maps;
  • profile reinstatement;
  • suspension outcomes; or
  • ongoing availability of Google features.

Clients remain responsible for complying with Google’s policies.

  1. Social Media

DIGITALO may assist with the creation or optimisation of social media accounts.

The client retains ownership of all social media accounts created on their behalf.

DIGITALO recommends clients maintain secure copies of usernames, passwords and recovery information.

Third-party platforms regularly change their policies, features and functionality.

DIGITALO is not responsible for changes implemented by Meta, LinkedIn, X, YouTube or other platform providers.

  1. Training & Consulting

Where training or consulting services are provided, DIGITALO will exercise reasonable skill and care in providing advice based upon the information available at the time.

Implementation of recommendations remains the client’s responsibility.

DIGITALO cannot guarantee commercial outcomes resulting from advice or recommendations.

  1. Accessibility

DIGITALO aims to follow recognised accessibility practices where reasonably practical within the agreed project scope.

Unless specifically included within the quotation, websites are not guaranteed to comply with every accessibility standard or legal requirement applicable to every jurisdiction or organisation.

Clients requiring compliance with specific accessibility standards should advise DIGITALO before work commences.

  1. Website Testing

Prior to launch, DIGITALO performs reasonable testing appropriate to the project.

Testing may include:

  • desktop browsers;
  • mobile devices;
  • tablet layouts;
  • contact forms;
  • navigation;
  • links;
  • responsive layouts; and
  • general functionality.

Clients are responsible for completing their own review and approving the website before it goes live.

Approval indicates acceptance of the completed work as supplied.

  1. Search Engines & Indexing

Following launch, search engines may take days or weeks to discover, crawl and index new or updated websites.

DIGITALO has no control over:

  • indexing timeframes;
  • search engine algorithms;
  • search result appearance; or
  • future ranking changes.

Search performance should be assessed over time rather than immediately following publication.

  1. Website Hosting

Unless otherwise stated in writing, website hosting is provided by independent third-party hosting providers.

Where DIGITALO assists with arranging or recommending hosting, the hosting agreement remains between the client and the hosting provider unless DIGITALO specifically invoices for managed hosting services.

DIGITALO is not responsible for:

  • server outages;
  • hosting provider failures;
  • internet interruptions;
  • hardware failures;
  • third-party maintenance;
  • cyber attacks affecting hosting providers; or
  • decisions made by hosting providers regarding accounts or services.

Clients are encouraged to maintain current hosting accounts, passwords and billing information to avoid service interruptions.

  1. Domain Names

Where DIGITALO assists with registering or transferring domain names, ownership should remain in the client’s name wherever practical.

Clients are responsible for:

  • renewing domain names;
  • maintaining accurate registration details;
  • ensuring payment of renewal fees; and
  • complying with the relevant domain authority requirements.

DIGITALO accepts no responsibility for expired domain registrations or domains lost due to non-payment or incorrect registrant information.

  1. Third-Party Software & Services

Many projects rely on products or services provided by third parties.

These may include, but are not limited to:

  • WordPress
  • WooCommerce
  • Divi
  • Elementor
  • Cloudflare
  • Google
  • Microsoft
  • Canva
  • Stripe
  • Square
  • PayPal
  • payment gateways
  • hosting providers
  • domain registrars
  • plugins
  • APIs
  • social media platforms.

DIGITALO does not own or control these services.

Accordingly, DIGITALO cannot guarantee their continued availability, pricing, functionality, compatibility or future development.

Changes introduced by third-party providers may require additional work, which may be quoted separately.

  1. Software Licensing

Some websites or projects may include commercial software requiring ongoing licence renewals.

Unless specifically included within a maintenance agreement, clients are responsible for renewing software licences after handover.

Failure to renew licences may affect functionality, security or access to updates.

  1. Referral Partners & Third-Party Recommendations

From time to time, DIGITALO may recommend or introduce third-party specialists, agencies, software, or services that we genuinely believe may benefit your business. These may include, but are not limited to: website hosting, SEO, digital advertising, business software, payment gateways, or cloud solutions.

• Commercial Arrangements: Please note that DIGITALO has commercial partnership arrangements with certain providers and may receive a referral fee, commission, or commercial benefit if you choose to engage their services.

• Independent Advice: Recommendations are made based entirely on our genuine professional opinion and vetting of their quality, not solely because a referral arrangement exists.

• No Obligation: Clients are under no obligation to use any provider recommended by DIGITALO. If you choose to engage a recommended third party, you do so directly under that provider’s own terms. DIGITALO is not responsible for their performance, service delivery or any disputes that may arise between you and that provider.

  1. Intellectual Property

Unless otherwise agreed, DIGITALO retains ownership of all concepts, drafts, source files, code, templates and working documents created during the project until full payment has been received.

Upon payment in full, ownership of the agreed deliverables transfers to the client.

This does not include ownership of:

  • commercial themes;
  • plugins;
  • stock photography;
  • fonts;
  • licensed software;
  • third-party products; or
  • other materials supplied under licence.

Those products remain subject to their respective licence agreements.

  1. Portfolio Rights

Unless the client specifically requests otherwise in writing, DIGITALO may display completed work within its:

  • website;
  • portfolio;
  • social media;
  • presentations;
  • proposals; and
  • marketing material.

This may include screenshots, project summaries and a description of the services provided.

Confidential information will never be intentionally disclosed.

  1. Confidentiality

DIGITALO respects the confidentiality of client information.

Any confidential information supplied during the course of a project will not be intentionally disclosed to third parties except:

  • where required to complete the project;
  • where required by law; or
  • with the client’s consent.

This obligation does not apply to information that is already publicly available.

  1. Backups

Unless specifically included within an ongoing maintenance agreement, clients remain responsible for maintaining current backups of their websites, emails and other digital assets.

Where DIGITALO performs work on an existing website, reasonable care will be taken, however clients are encouraged to ensure suitable backups exist before work commences.

  1. Security

DIGITALO follows reasonable security practices when providing services.

However, no website, server or online service can be guaranteed to be completely secure.

DIGITALO cannot guarantee protection against:

  • hacking;
  • malware;
  • ransomware;
  • phishing;
  • denial-of-service attacks;
  • password compromise; or
  • other cyber security incidents.

Clients remain responsible for maintaining secure passwords and appropriate security practices.

  1. Limitation of Liability

To the maximum extent permitted by Australian law, DIGITALO’s liability for any claim arising from the provision of services is limited to the amount paid by the client for the specific services giving rise to the claim.

DIGITALO will not be liable for any indirect, incidental, consequential or special loss including, but not limited to:

  • loss of profits;
  • loss of revenue;
  • loss of business opportunity;
  • loss of data;
  • business interruption; or
  • reputational damage.

Nothing in these Terms excludes any rights that cannot legally be excluded under Australian Consumer Law.

  1. Indemnity

Clients agree to indemnify DIGITALO against claims arising from:

  • content supplied by the client;
  • copyright infringement by supplied material;
  • misleading or unlawful statements provided by the client;
  • unlawful use of websites or digital assets after delivery; or
  • breaches of applicable laws by the client.
  1. Force Majeure

DIGITALO will not be liable for delays or failure to perform obligations where such delays arise from circumstances beyond our reasonable control.

Examples include:

  • natural disasters;
  • severe weather;
  • pandemics;
  • government actions;
  • internet outages;
  • power failures;
  • cyber incidents;
  • industrial action; or
  • serious illness.

Where reasonably practical, DIGITALO will communicate any significant delays.

  1. Privacy

DIGITALO respects your privacy.

Our collection, storage and use of personal information is governed by our Privacy Policy, available on our website.

  1. Changes to these Terms

DIGITALO may update these Terms from time to time.

The latest version published on our website applies to new projects commenced after the publication date.

Existing projects will generally continue under the Terms applicable at the time the quotation was accepted unless otherwise agreed.

  1. Governing Law

These Terms are governed by the laws of Queensland, Australia.

Any disputes arising from these Terms will be subject to the jurisdiction of the courts of Queensland.
